1/22/2007 8:01:14 AM Late Friday, Swift Transportation Co., Inc. (SWFT) announced signing of a definitive merger agreement with an entity formed by Jerry Moyes, a current Director, and former Chairman of the Board and CEO of Swift.
Pursuant to the deal Moyes and certain of his family members would acquire Swift in an all-cash transaction valued at about $2.74 billion, including the assumption of about $332 million of net debt.
The company stated that, as per the terms of the deal, Swift stockholders would receive $31.55 in cash for each outstanding share of Swift common stock. This represents a premium of about 31% from the closing price of Swift stock on November 3, the last trading day before Moyes made an initial proposal to acquire the company for $29.00 per share.
A late rally caused Swift Transportation to close Friday's trade at $27.74, up 69 cents. In the after-hours trading session the stock gained 5 cents at $27.79. Shares have been moving roughly sideways along their 50 and 200-day moving averages for the last 3 weeks.
